White Gold (TSX-V:WGO) has received shareholder approval for a previously reported spin-out company, created with certain critical mineral properties located in Yukon, Canada.
In early May 2026, White Gold entered into an arrangement with W2 Critical Minerals to transfer 15% of its land package, which includes several exploration targets in the Dawson Range — a belt known for copper-gold mineralisation.
The spin-out remains subject to final court and regulatory approvals, including final approval of the TSX Venture Exchange. The court hearing for the final order to approve the spin-out is scheduled to take place today (13 August).
Following completion, White Gold is expected to hold a 19.9% ownership interest in the spin-out. W2 Critical Minerals also intends to list its shares on the TSX Venture Exchange following completion of the deal.
White Gold CEO David D’Onofrio says the spin-out is designed to unlock the value of the prospective critical mineral projects within Yukon’s White Gold District.
“Three drill rigs [are] now turning for our largest ever diamond drill program across our flagship White Gold Project, which ranks among Canada’s highest grade undeveloped open-pit gold resources [and is] designed to further expand our resources and make new discoveries. [Together with] the recently announced preliminary economic assessment and various other value creating initiatives, we believe 2026 has the potential to be a transformational year for White Gold,” D’Onofrio says.
