KeyCorp Completes Clearwater UK Acquisition to Expand Cross-Border Advisory Business


KeyCorp has completed its acquisition of Clearwater Corporate Finance LLP, strengthening its investment banking platform with expanded middle-market advisory capabilities in the United Kingdom and enhancing its ability to serve clients pursuing cross-border transactions.

The acquisition, first announced previously, adds Clearwater UK’s corporate finance advisory business to KeyCorp’s institutional banking operations. Financial terms of the transaction were not disclosed.

The deal advances KeyCorp’s strategy of expanding its global investment banking franchise by combining its U.S. corporate and investment banking capabilities with Clearwater UK’s established presence in the European middle market. The acquisition broadens the firm’s advisory reach for mergers and acquisitions, private equity transactions and debt advisory assignments while increasing sector expertise across a range of industries.

Headquartered in the United Kingdom, Clearwater UK advises middle-market companies on mergers and acquisitions, private equity transactions and debt financing. The firm operates from offices in Birmingham, London, Leeds and Manchester and serves clients across 10 industry sectors, including automotive, business services, consumer, energy and utilities, financial services, food and beverage, healthcare, industrials and chemicals, real estate, and technology. The firm also maintains dedicated debt advisory and private equity practices.

The acquisition strengthens KeyCorp’s position in the middle-market investment banking sector, where demand for international advisory services has continued to grow as companies pursue cross-border acquisitions, strategic partnerships and capital-raising opportunities. By integrating Clearwater UK’s regional relationships and industry expertise, KeyCorp is expanding its ability to advise clients with operations or acquisition targets in both North America and Europe.

The transaction also complements the services offered through KeyBanc Capital Markets, KeyCorp’s corporate and investment banking division, which provides mergers and acquisitions advisory, debt and equity capital markets services, loan syndications and derivatives solutions to middle-market companies across the United States.

Based in Cleveland, Ohio, KeyCorp is one of the largest bank-based financial services companies in the United States, with approximately $191 billion in assets as of June 30, 2026. Through KeyBank National Association, the company provides consumer and commercial banking services across 15 states, while its institutional banking platform serves middle-market and corporate clients with lending, capital markets and advisory services. The addition of Clearwater UK expands that platform internationally, positioning KeyCorp to provide broader strategic and transaction advisory services to clients operating in increasingly global markets.
